Terms of Service

These Terms of Service ("Terms") govern your use of scregisteredagent.org (the "Site") and the registered agent services (the "Services") provided by South Carolina Registered Agent.org ("we," "us," "our"). By using the Site or enrolling in the Services, you agree to these Terms.

1. What the Service Includes

As your South Carolina registered agent, we:

• Maintain a physical South Carolina street address to serve as your registered office
• Accept service of process and official state correspondence at that address during business hours
• Scan what we receive and post it to your secure online portal, generally the same business day
• Send compliance reminders relevant to your entity's structure and filing obligations
• Provide portal access so you can view and download your documents anytime

2. Eligibility

To enroll, you must:

• Be at least 18 years old
• Have authority to act on behalf of the business entity you're enrolling
• Provide accurate, current information at signup and keep it updated

3. Fees and Payment

• Service is billed at $99 per year
• Payment is collected at enrollment and again at each annual renewal
• We accept the payment methods offered at checkout
• We'll give at least 30 days' notice of any price change before it applies to your renewal
• If a renewal payment fails, we'll attempt to reach you; Services may be suspended if payment isn't resolved within a reasonable period

4. Term and Renewal

Your service term starts on enrollment and runs one year, renewing automatically unless cancelled. We notify you ahead of your renewal date.

5. Your Responsibilities

You agree to:

• Keep your business entity's information accurate and current with us
• Notify us promptly of changes to your entity's name, structure, or contact details
• File required paperwork with the South Carolina Secretary of State, including any change-of-agent forms
• Check your portal regularly and act on what we deliver in a timely manner
• Use the Services only for lawful purposes

6. How We Handle Mail

We accept documents at your South Carolina registered address during business hours. What arrives is scanned and posted to your secure portal, generally the same business day for service of process, and the first three non-legal government mailings each year are scanned and delivered to your portal at no extra charge. Physical forwarding — mailing an original document to you rather than just scanning it — is available as a separate, per-piece charge and is not included in the $99 annual fee. We don't open, review, or act on the substance of anything beyond confirming the intended recipient entity. Physical originals are kept on file for a reasonable period before secure destruction.

7. Not a Law Firm

South Carolina Registered Agent.org is not a law firm and does not provide legal, tax, or business-formation advice. Our role is limited to registered agent functions. For legal matters, consult a licensed South Carolina attorney.

8. Limitation of Liability

To the extent permitted by South Carolina law:

• Our total liability for any claim is limited to fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for delays or failures caused by circumstances outside our reasonable control, including postal delays or service outages
• We are not responsible for your failure to act on documents delivered to your portal

9. Cancellation

• You may cancel at any time by emailing support@scregisteredagent.org
• Cancellation takes effect at the end of your current annual term
• We don't provide partial refunds for unused time except at our discretion
• Before or upon cancelling, you must designate a replacement registered agent with the South Carolina Secretary of State to stay compliant

10. Termination by Us

We may terminate Services for violation of these Terms, unlawful use, or non-payment following notice. We'll give reasonable notice and help with transitioning your agent designation where possible.

11. Indemnification

You agree to indemnify South Carolina Registered Agent.org, its owners, employees, and agents against claims, damages, or costs (including reasonable attorney fees) arising from your use of the Services, breach of these Terms, or your business's operations.

12. Governing Law

These Terms are governed by the laws of the State of South Carolina, and disputes will be resolved in South Carolina courts.

13. Changes to These Terms

We may revise these Terms periodically. Updates post here with a new effective date; continued use after a change means you accept it.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, make up the entire agreement between you and South Carolina Registered Agent.org regarding the Services.
